Section 1: Scope
- These general terms and conditions apply to all contracts between Selcuk Can Ekici, Kantstraße 97, 10627 Berlin (“AMZDelete”), and its customers regarding the use of AMZDelete.
- The offer is intended exclusively for entrepreneurs (Unternehmer) within the meaning of Section 14 of the German Civil Code (BGB).
- Deviating terms of the customer only apply if AMZDelete expressly agrees to them in text form (Textform, for example by email).
Section 2: Services provided by AMZDelete
- For the products specified by the customer, AMZDelete retrieves the publicly visible 1-star and 2-star reviews on amazon.de, adds automatic flags to them and preserves them with date, link and screenshot.
- In the customer area, the customer can select reviews and commission the partner law firm to check them (approval). AMZDelete transmits approved cases to the law firm, displays the processing status and checks whether a review has been removed.
- AMZDelete does not provide legal services. The automatic flags do not constitute a legal assessment.
- AMZDelete does not owe any particular result. Whether a review is removed is decided by Amazon.
Section 3: Legal review by the partner law firm
- The legal review and the submission to Amazon are handled by the partner law firm on the basis of its own engagement. The customer engages the law firm and grants the power of attorney with the first approval.
- The law firm decides independently and free from instructions by AMZDelete whether and how to pursue a case. It may decline cases. Declined cases are free of charge.
- The law firm’s terms, in particular the fee agreement, additionally apply to the engagement.
Section 4: Customer obligations
- The customer may only approve reviews that concern the customer itself, for example as the manufacturer, brand owner or seller of the products.
- The customer must provide information on cases, in particular on whether a review can be matched to an order, truthfully and after checking its records. The customer must provide supporting documents upon request.
- The customer must not use AMZDelete to suppress evidently permissible criticism.
- If third-party claims are based on false information provided by the customer, the customer must indemnify AMZDelete against these claims.
Section 5: Fees
- Analysis and monitoring are free of charge.
- A fixed price is charged for each removed review, in each case plus VAT. The price per review depends on the number of reviews that the customer commissions for checking in the respective order: up to 10 reviews €129, 11 to 50 reviews €119, 51 to 200 reviews €109, 201 or more reviews €99. The price is fixed when the order is placed and applies to every review in that order that is removed, regardless of how many reviews in the order are removed. Separate orders are not combined.
- A review is deemed removed if, after submission by the partner law firm, it is no longer publicly accessible on amazon.de. AMZDelete determines this by checking the product page; the customer can see the result in the customer area.
- If a submitted review remains online, nothing is charged for it.
- The price covers the technical services of AMZDelete and the attorney fees of the partner law firm. The law firm works on a success-fee basis: its fee is only incurred if a review is removed, and it is included as a fixed share in the price under paragraph 2. The details are governed by the fee agreement between the customer and the law firm. The customer incurs no further costs for the work of the law firm.
- Court proceedings are not included. They are only taken under a separate agreement with the law firm.
- Billing is combined in a single invoice from AMZDelete. AMZDelete invoices the law firm’s share in the name and for the account of the law firm and collects it on the basis of a power of attorney granted by the law firm; this share is not remuneration of AMZDelete. Payment to AMZDelete also settles the law firm’s fee. AMZDelete invoices removed reviews collectively, at most once a week, and sends the invoice by email. The invoice amount is payable without deduction by bank transfer within 7 days of the invoice date.
- If AMZDelete promises the customer the introductory offer “First removal free”, one removed review is free of charge for the customer: the first one removed from the first order that the customer places by the date stated in the promise. If no review is removed from that order, this applies to the next order placed by that date. AMZDelete does not charge for its own services for this review and pays the partner law firm’s fee for it to the law firm out of its own funds. The law firm invoices its fee to the customer, and the invoice shows the payment made by AMZDelete; the customer pays nothing for it. The introductory offer is available only once per customer.
Section 6: Term and termination
- The contract runs for an indefinite period and may be terminated by either party at any time in text form.
- Cases that have already been handed over to the partner law firm will be completed. Section 5 continues to apply to them after termination.
Section 7: Liability
- AMZDelete is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).
- In the case of slight negligence, AMZDelete is only liable for breaches of essential contractual obligations whose fulfillment makes the proper performance of the contract possible in the first place and on whose observance the customer may rely. In that case, liability is limited to the foreseeable damage typical of this type of contract.
- AMZDelete is not liable for decisions made by Amazon or for the availability of amazon.de.
Section 8: Data protection
How AMZDelete processes personal data is explained in the privacy policy.
Section 9: Changes to these terms
AMZDelete will notify the customer of changes in text form at least four weeks before they take effect. If the customer does not object within this period, the changes are deemed accepted. AMZDelete will point out this consequence in the notification. The previous terms continue to apply to cases that have already been approved.
Section 10: Final provisions
- German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- If the customer is a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the place of jurisdiction is Berlin.
- Should any provision be invalid, the remainder of the contract remains valid.
